Job Title: | Legal Counsel |
Purpose of job: | To assist with the day to day operation of the legal department |
Reports to: | Directly to Senior Managing Director, Global General Counsel & Chief Compliance Officer |

Responsibilities:
- Regulatory – drafting policies and establishing and maintaining processes around regulations (g. GDPR, MIFID, AIFMD, SFDR, both in relation to our London and Paris offices and any Brexit-related differences)
- Separate Accounts – drafting and negotiating investment management agreements and related separate account documentation
- Distribution and related agreements – drafting and negotiating distribution agreements, fee rebate and related agreements with global financial intermediaries and institutional fund investors, with input from sales and operations teams.
- Familiarity with marketing restrictions across Europe and Asia and ESG considerations
- Corporate – assistance with resolutions and meeting minutes for boards of the EnTrust Global non-U.S. funds and certain internal functional committees
- Assisting with setup and oversight of international offices
- Review RFPs, information questionnaires and the like
- Investment Funds – assist with fund establishment and restructuring (for regulated and unregulated (offshore) funds, especially in Ireland, France and Luxembourg) including multi-jurisdictional structuring issues, creating new share classes and changes to service providers (and being responsible for drafting offering documentation and other fund documentation to give effect to this). The role also includes general fund maintenance including legal/regulatory registrations, advising on Brexit structuring issues, incorporating ESG considerations, attendance at board meetings, interacting with outside counsel and general compliance
Skills & Knowledge:
- Excellent academic credentials
- In-house experience essential
- Experience forming and qualifying funds for marketing under regulatory regimes of various Non- US jurisdictions, including European, Asian and MENA regimes
- English qualification preferred; however, qualifications from other jurisdictions considered
- Minimum of 5 years’ post-qualification experience with a top tier law firm or asset manager, preferably in the alternative investment funds area
- High level of self-motivation
- Strong interpersonal skills
- Strong contract drafting and negotiation skills
- Proficiency in French a plus
